Creator Distribution Agreement (CDA)

Effective Date: October 27, 2025

Purpose: This Agreement governs the submission, distribution, promotion, and monetization of your original sound (the “Content”) via the JamsCity streaming platform and its distribution partners.

1. The Creator & The City (Parties)

This is a binding agreement between:

The Creator (Artist): You, the person or entity who owns or legally controls the exclusive rights to the Content submitted to JamsCity. The Distributor (JamsCity): Jamscity Media, based in Nigeria.

By clicking “I Agree” or submitting your Content to JamsCity, you accept these terms.

2. Grant of Rights (The Vibe License)

You grant JamsCity a worldwide, non-exclusive, sub-licensable, and transferable right and license to:

1. Distribute & Stream: Distribute, reproduce, publicly perform, stream, and make available your Content in any digital format now known or later developed (including downloads, permanent, tethered, or temporary, and non-interactive/interactive streaming) through the JamsCity platform and any third-party digital music services (e.g., DSPs, social media).

2. Monetize: Collect all revenue derived from the distribution, streaming, and exploitation of the Content.

3. Market & Promote: Use the Content, including the track artwork, artist name, and likeness, for promotional, marketing, and advertising purposes related to JamsCity and the Service.

4. Metadata: Encode and use all associated metadata (ISRC, title, genre, etc.) for registration and tracking purposes.

Your Ownership: You retain all copyrights and ownership in your original Content. This is a license to distribute, not a sale of your master recordings or compositions.

3. The Payout (Artist Compensation)

This section governs how JamsCity calculates and pays the revenue earned from your Content.

3.1. Revenue Split (The City's Cut)

JamsCity will pay the Creator a percentage of the Net Revenue received by JamsCity from the exploitation of the Content.

• Net Revenue is defined as all gross revenue received by JamsCity from streaming services, download stores, and other monetization channels, minus any third-party fees, bank charges, and mandatory taxes withheld.

(Note: [70]% is a competitive standard, but please confirm the desired percentage.)

3.2. Payout Schedule

1. Reporting: JamsCity will provide the Creator with access to a dashboard reflecting earned royalties within [45] days after the end of the calendar month in which the revenue was received by JamsCity.

2. Payment: Payments will be processed monthly, provided the Creator’s accrued earnings exceed the minimum payout threshold of [USD $20.00] (the "Threshold").

3. Method: Payments will be made via the Creator’s designated payment processor (e.g., bank transfer, PayPal) as specified in the Artist Dashboard. The Creator is responsible for all fees associated with their chosen payment method.

4. The Grind (JamsCity's Obligations)

JamsCity commits to the following:

1. Global Distribution: To utilize its best reasonable efforts to distribute the Content to its network of digital music service providers.

2. Data & Transparency: To provide the Creator with accurate data regarding streams, sales, and corresponding revenue generated by the Content.

3. Takedown Execution: To promptly remove Content from the Service and digital partners upon written request by the Creator (subject to standard digital processing delays).

5. Keeping it Real (Creator Warranties)

The Creator represents and warrants to JamsCity that:

1. Content Ownership: You are the sole and exclusive owner or controller of all rights in the Content, including all master, mechanical, and synchronization rights, necessary to grant the license in Section 2.

2. No Infringement: The Content does not violate any applicable law or infringe upon the copyright, trademark, privacy, publicity, or any other rights of any third party.

3. Clearances: All third-party samples, features, co-writes, and underlying compositions are fully cleared and licensed, and no further permissions or payments are required from JamsCity to distribute the Content.

4. No Malice: The Content does not contain any material that is defamatory, obscene, harassing, or promotes illegal activity.

6. The Run (Term and Termination)

1. Term: This Agreement begins on the date you accept it and will remain in effect indefinitely unless terminated by either party.

2. Termination by Creator: You may terminate this Agreement at any time with [30] days’ written notice. All Content will be removed from distribution within [90] days of termination, allowing for platform wind-down.

3. Termination by JamsCity: JamsCity may terminate this Agreement immediately if the Creator breaches any of the warranties in Section 5 or violates the JamsCity Terms of Service.

4. Survival: Sections 3 (Payout), 5 (Warranties), and 7 (Indemnification) will survive the termination of this Agreement.

7. The Cleanup (Indemnification)

You agree to indemnify, defend, and hold harmless JamsCity (and its officers, directors, employees, and agents) from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorney's fees) arising from any breach or alleged breach of your warranties or obligations under this Agreement.
